Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services provided by FABS LABS ("we", "us", "our"), collectively the "Service". By using the Service you agree to be bound by these Terms.

1. Eligibility

You must be at least 16 years old and capable of entering into a binding contract to use the Service. If you are using the Service on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Account

You are responsible for activity on your account and for keeping your credentials secure. Notify us immediately at security@fabs-labs.com if you suspect unauthorized access.

3. Acceptable use

You agree not to:

• Use the Service for illegal, harmful, or fraudulent purposes.
• Place calls that violate telemarketing laws (TCPA, TSR, or equivalent regulations in your jurisdiction), including unsolicited automated calls to numbers on do-not-call registries.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Send spam, malware, or content that infringes intellectual property rights of others.
• Reverse-engineer, scrape, or attempt to gain unauthorized access to the Service.
• Use the Service to harass, threaten, or violate the privacy of others, including recording calls in jurisdictions where all-party consent is required without obtaining that consent.

We may suspend or terminate accounts that violate these rules, with or without notice.

4. Subscriptions and payment

Some features require a paid subscription. Pricing, billing frequency, and included usage are described at the time of purchase. Subscriptions automatically renew at the end of each billing period unless cancelled before renewal. You can cancel any time through your account settings; cancellation takes effect at the end of the current period and does not entitle you to a refund for unused time, except as required by law.

Telephony usage (per-minute charges, SMS, recording storage) may incur additional fees billed separately, as disclosed in your plan.

5. AI-generated content

The Service uses AI models (including OpenAI, ElevenLabs, and similar providers) to generate spoken responses, transcripts, and summaries. AI output may be inaccurate, incomplete, or inappropriate for your use case. You are responsible for reviewing AI output before relying on it for any decision and for providing your own legal, medical, financial, or other professional advice where required.

6. Your content

You retain ownership of content you provide to the Service (configuration, contact data, call recordings, custom prompts). You grant us a non-exclusive license to host, process, and transmit that content solely to operate the Service for you. We do not use your call content to train AI models.

7. Recording and consent

The Service can record phone calls. Recording laws vary by jurisdiction. You are solely responsible for obtaining the consents required by the laws applicable to your calls (one-party, two-party, or all-party consent). You agree to play recording disclosures and obtain consent where required.

8. Third-party services

The Service integrates with third-party services (Twilio, OpenAI, Google, Apple, Stripe, and others). Your use of those services is subject to their own terms. We are not responsible for third-party services or their availability.

9. Termination

You may stop using the Service at any time and delete your account via app settings or by emailing support@fabs-labs.com . We may suspend or terminate your access to the Service if you violate these Terms or if continued provision becomes impractical (e.g., due to operational, legal, or security reasons).

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL FABS LABS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to defend, indemnify, and hold harmless FABS LABS and its affiliates from any claim or demand, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

13. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict of law principles. Any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Los Angeles County, California.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
